About the Role
We are looking for a skilled and proactive legal professional with strong experience in in-house legal and compliance functions, particularly in managing commercial agreements and corporate compliance requirements.
The ideal candidate should possess well-rounded exposure across various legal domains relevant to corporate operations, along with strong knowledge of Company Secretarial (CS) matters and statutory corporate compliances.
The role requires close coordination on Companies Act requirements and ensuring legal and governance standards are maintained across the organization. The candidate will also support legal requirements across global group companies and should have a sound understanding of common law principles in a multi-jurisdictional business environment.
Key Responsibilities
Contract Management
Draft, review, negotiate, and manage commercial agreements including:NDAsMSAsSOWsVendor & Customer ContractsTechnology & Licensing Agreements
Corporate Compliance & CS Support
Ensure compliance with Companies Act, 2013Maintain statutory registers and recordsAssist in board/shareholder resolutions and governance documentationSupport corporate governance requirements
Stakeholder Management
Liaise and coordinate with external stakeholders, consultants, and legal advisors
Real Estate & Land Laws
Review and manage:Property lease agreementsRental agreementsOffice space documentationRelated legal matters
Employment & Labour Laws
Support HR on:Employment-related legal mattersContract labour complianceInternal policy complianceLabour law advisory
Data Protection & Privacy
Support implementation of data privacy practicesReview contracts for compliance with:GDPRDPDP ActOther applicable privacy regulations
Company Secretarial Coordination
Coordinate with external CS consultants for:Statutory filingsCompanies Act complianceBoard-related documentation
Legal Compliance
Monitor legal and regulatory developmentsSupport implementation of required changes in:ContractsPoliciesBusiness processes
Internal Advisory
Partner with HR, Finance, Admin, Procurement, and Business teamsProvide practical and business-oriented legal guidance
Legal Operations & Risk Management
Maintain:Contract repositoriesCompliance trackersSecretarial recordsDrive improvements in legal operations and documentation processes
Desired Candidate Profile
