The Assistant Company Secretary will play a pivotal role in ensuring absolute regulatory adherence and promoting best-in-class corporate governance. Key responsibilities include:
1. Board & Secretarial Governance
Ensure rigorous, end-to-end compliance with the Companies Act, 2013 and all associated rules.Expertly draft and circulate notices, comprehensive board notes, agendas, resolutions, and minutes.Conduct, facilitate, and support all Board, Committee, and Annual General Meetings (AGMs/EGMs).Maintain impeccable statutory registers, records, and minute books, ensuring timely e-filings and returns with the ROC.
2. SEBI, Listing, & ESG Compliances
Drive absolute compliance with SEBI (LODR) Regulations, 2015 and SEBI (PIT) Regulations (Insider Trading).Execute all critical stock exchange filings flawlessly, including financial results, shareholding patterns, corporate announcements, and event disclosures.Lead and assist in the preparation of ESG (Environmental, Social, and Governance) reports and robust corporate governance disclosures for the Annual Report.
3. Corporate Actions & Stakeholder Management
